PicDoaiAPP User Agreement

PicDoai provides services to you in accordance with the following Terms of Service. These terms may be updated by PicDoai at any time without further notice. Once the PicDoai User Agreement (the “User Agreement”) is modified, PicDoai will publish the revised content on the website. The revised User Agreement takes effect upon publication and supersedes the prior version.

Before using any PicDoai services, you should carefully read this User Agreement. If you do not agree with this User Agreement and/or any modifications, please stop using all PicDoai services immediately. Your use of PicDoai services is deemed your full understanding and acceptance of all terms herein, including any modifications made by PicDoai, and you thereby become a PicDoai user (“User”).

PicDoai currently provides the following service to users: a video face-swapping service. Unless expressly stated otherwise, any new functions that enhance or augment the current service, including newly launched products, are subject to this User Agreement.

You understand and agree that the service is provided solely “as is” and “as available.” PicDoai assumes no responsibility for the timeliness, deletion, transmission errors, failure to store user information or personalized settings, or other issues. PicDoai reserves the right to suspend any part of the service for maintenance, upgrades, or other purposes without prior notice.

You agree to comply with all applicable laws and regulations of the People’s Republic of China and bear full responsibility for any actions taken with your password and account. If your actions violate any laws or regulations and may constitute a crime, you may face criminal prosecution and bear full legal liability.

If PicDoai has reason to believe that any of your actions—including but not limited to your speech or other conduct—violate or may violate any laws or regulations, PicDoai may terminate the service to you at any time without prior notice.

To use the service, you agree to provide accurate and valid information (such as your mobile phone number) as prompted during registration. If you provide any illegal, unethical, or otherwise unsuitable information for display on PicDoai, or if PicDoai has reason to suspect that your information is generated by programs or malicious operations, PicDoai may suspend or terminate your account and refuse your current and future use of all or part of the service.

1. After successful registration, you can log in to your PicDoai account using your mobile number. You are responsible for the security of your account and all activities under it.
2. You agree to immediately notify PicDoai of any unauthorized use of your account or other security issues.
3. PicDoai is not responsible for any loss or damage caused by your failure to safeguard your account. You are solely responsible for all actions and events within your account and any resulting damages to yourself, PicDoai, or third parties.

Your registration information and other data retained by PicDoai are governed by applicable privacy laws in China and PicDoai’s Privacy Statement.

Any text, information, data, music, photos, graphics, videos, messages, or other materials (“Content”) uploaded, published, or transmitted via the service—whether publicly or privately—are the sole responsibility of the content provider. PicDoai provides storage space only and cannot control the content transmitted through the service; therefore, it does not guarantee content accuracy, completeness, or quality. You understand that you may encounter unpleasant, inappropriate, or objectionable content. PicDoai is not responsible for any content but may, in accordance with the law, stop transmitting such content and take appropriate measures, including suspending access, preserving records, and reporting to authorities.

You agree not to use the service for any illegal or improper activities, including but not limited to:

1. Publishing or transmitting information containing any of the following:
   • Opposition to the basic principles established by the Constitution;
   • Endangering national security, leaking state secrets, subverting state power, or undermining national unity;
   • Damaging national honor and interests;
   • Inciting ethnic hatred or discrimination, undermining national unity;
   • Undermining religious policy, promoting cults or feudal superstition;
   • Spreading rumors, disrupting social order, or undermining social stability;
   • Spreading obscenity, pornography, gambling, violence, murder, terror, or abetting crime;
   • Insulting or defaming others or infringing upon lawful rights;
   • False, fraudulent, harmful, threatening, invasive of privacy, harassing, offensive, vulgar, or obscene content, or other morally objectionable content;
   • Other content restricted or prohibited by applicable laws and regulations;
   • Buying/selling accounts, followers, likes, or other cheating behavior (PicDoai does not support such third-party activities and may permanently penalize accounts engaged in them);
   • Any content PicDoai deems unsuitable for display.
2. Infringing on others’ lawful rights in any way.
3. Impersonating any person or entity, or falsely claiming affiliation.
4. Publishing or transmitting content you are not authorized to share under law or contractual/fiduciary relationships.
5. Publishing or transmitting content that infringes intellectual property or other proprietary rights.
6. Interfering with or disrupting the service or networks connected to the service, or violating related policies.
7. Stalking, doxxing, or harassing others.
8. Violating any applicable law or enforceable rule.
9. Without authorization, intercepting, tampering with, collecting, storing, or deleting others’ personal information, site mail, or data, or using such information for illegal or improper purposes.

You acknowledge PicDoai does not fully monitor user behavior. You use any content at your own risk and discretion. PicDoai may, at its sole discretion, refuse or remove any content that violates this Agreement or is otherwise objectionable.

You understand and agree that PicDoai may preserve or disclose content as required by law or in good faith when necessary to: (a) comply with legal processes; (b) enforce this Agreement; (c) respond to third-party claims; (d) protect the rights, property, or safety of PicDoai, its users, or the public; or (e) other circumstances deemed necessary by PicDoai.

You understand the borderless nature of the Internet and agree to comply with all local laws and regulations regarding online conduct and content. You further agree to comply with all applicable laws and regulations related to information export from China or your country/region.

1. “Public areas of the service” refer to areas generally accessible to the public.
2. For content you upload or publish on PicDoai, you warrant you are the copyright owner or have obtained lawful authorization and that such content does not infringe any third party’s rights. You grant PicDoai a worldwide, free, irrevocable, perpetual, sublicensable and transferable exclusive license to use such content, including for display, promotion, and any other lawful purposes.

You expressly agree that uploading personal materials to the Internet may result in copying, reprinting, or other uses by others, and you bear all risks and consequences arising from your use of PicDoai. PicDoai is not liable to you for such consequences.

You agree to indemnify and hold PicDoai, its subsidiaries, affiliates, officers, agents, brand co-owners, partners, and employees harmless from any claims, including reasonable attorneys’ fees, arising out of content you provide, your connection to the service, your violation of this Agreement, or your infringement of any third-party rights.

You agree not to reproduce, copy, sell, resell, or exploit for any commercial purposes any portion of the service, use of the service, or access to the service.

You acknowledge PicDoai may set general rules and limits regarding use of the service, including (but not limited to) the maximum retention period for posted or other content, and limits on usage frequency and session length. PicDoai is not liable for deletion or failure to store any information or content transmitted through the service. PicDoai may modify these measures at any time with or without notice.

PicDoai may modify or discontinue the service (or any part of it) temporarily or permanently at any time, with or without notice. PicDoai shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

PicDoai may, at its sole discretion, terminate your account or use of the service (or any part of it) for any reason, including lack of use or violations of the letter or spirit of this Agreement, and may remove or delete any content. PicDoai may close or delete your account and related information/files and/or bar further access. PicDoai shall not be liable to you or any third party for such termination, closure, or deletion.

1. Nothing in this Agreement excludes PicDoai’s liability for personal injury to you or for property damage caused by PicDoai’s willful misconduct or gross negligence.
2. You use the service at your own risk. The service is provided on an “as is” and “as available” basis. PicDoai makes no express or implied warranties, including merchantability, fitness for a particular purpose, or non-infringement.
3. PicDoai does not warrant that:
   • the service will meet your requirements;
   • the service will be uninterrupted, timely, secure, or error-free;
   • the results obtained will be accurate or reliable;
   • any products, services, information, or other items obtained will meet your expectations.
4. Downloading or obtaining materials through the service is at your discretion and risk; you are responsible for any damage to your device or loss of data.
5. Any advice or information, whether oral or written, obtained from PicDoai or through the service, does not create any warranty not expressly stated in this Agreement.
6. If PicDoai and/or its partners use your lawful portrait, name, or other rights, you agree to authorize such use.

You expressly understand and agree that PicDoai shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages (including but not limited to loss of profits, goodwill, use, data, or other intangible losses) resulting from:

1. use of or inability to use the service;
2. the cost of procurement of substitute goods, data, information, or services;
3. unauthorized access to or alteration of your transmissions or data;
4. statements or conduct of any third party on the service;
5. other matters relating to the service except as expressly provided herein;
6. any fraudulent information posted or delivered by third parties, or any resulting economic loss to users.

Without PicDoai’s prior written consent, you agree not to display, use, or otherwise handle PicDoai trademarks, logos, or product/service names, nor to indicate you have any right to do so.

PicDoai respects intellectual property and calls on users to do the same. Services and materials are provided “as is,” and PicDoai expressly disclaims all warranties, express or implied, including merchantability or fitness for a particular purpose. PicDoai is not responsible for any direct, indirect, incidental, or consequential damages arising from services, materials, or products.

If you infringe others’ intellectual property, PicDoai may remove specific content or terminate your account per applicable laws and service terms. If you believe your copyright or IP has been infringed, please promptly contact PicDoai with detailed evidence in accordance with the Regulations on the Protection of the Right of Communication through Information Networks and relevant guidance of the National Copyright Administration of the PRC.

1. This Agreement, the Community Guidelines, and the Disclaimer constitute the entire agreement between you and PicDoai regarding use of the service. When using related services or third-party content/software, you must also comply with applicable additional terms.
2. This Agreement and your relationship with PicDoai are governed by the laws of the People’s Republic of China. Disputes shall first be resolved amicably; failing that, they shall be submitted to CIETAC for arbitration. The award is final and binding.
3. PicDoai’s failure to exercise or enforce any right or provision does not constitute a waiver.
4. If any provision is deemed invalid due to conflict with PRC law, the parties shall strive to give effect to their intentions as reflected in that provision, and the remaining provisions remain in full force.
5. Your login to PicDoai signifies your acceptance of all the above terms.
6. PicDoai reserves the final right of interpretation of this Agreement.
